Intermountain Health Legal – Counsel – Intellectual Property

Job Description:

Under the direction of the Governance and Intellectual Property Division Director, this position will provide legal counsel on intellectual property matters, oversee patent and copyright prosecution, conduct and oversee intellectual property due diligence, and draft and negotiate intellectual property licenses, joint development agreements, and other technology transfer transactions. The position also supports Senior Counsel within its areas of focus.

Scope
This is a corporate position, reporting to a Division Director or Senior Counsel, typically with responsibilities within one or more legal subject matter areas.

Job Essentials
Often works under the direction of other Department attorneys, while providing legal support to operational departments of Intermountain. Reads, writes, analyzes and interprets legal documents.
Handles legal projects and matters of importance to the organization.
Develops an understanding of business unit needs, products and services. Advises on policies and procedures.
Produces clear and concise written materials that can be submitted to the customer with minimal revision or review by a more senior attorney.
May interact with outside counsel in providing legal advice to internal clients.
Researches the intent of laws and judicial decisions and applies the law to the circumstances. Acts as legal advocate or advisor concerning legal rights, obligations, and privileges of Intermountain and its subsidiaries.
Provides sound and prompt legal service and opinions to clients in relation to laws and regulations in the client's line of business. Protects the organization's rights in contract negotiations, settlements, and litigation. Ensures compliance with laws and regulations.

Minimum Qualifications
Must have a Juris Doctor degree from an ABA accredited law school and have a license to practice law in the State of Utah. If the applicant is practicing law in a state other than Utah, the applicant must have a current license to practice law in that state and be willing to obtain a license to practice law in Utah within a year after hire. Degree must be obtained through an accredited institution. Education is verified.

Three years experience in one or more of the following areas of law: healthcare, corporate, or litigation.

Experience in a role requiring excellent written and oral communication skills and ability to collaborate effectively with various stakeholders in the organization (management, senior attorneys, physicians, compliance, hospital administrators, health plan personnel, etc.).
- and -
Experience using word processing, spreadsheet, database, internet and e-mail and scheduling applications.

Preferred Qualifications
Experience in intellectual property licensing, joint development agreements, and technology transfer transactions.

Experience in advising clients on healthcare and corporate regulatory requirements (e.g., tax, commerce, fraud, waste and abuse, data privacy and security, antitrust).

Experience in preparing and negotiating complex commercial contracts for the purchase and sale of goods, services, software, or equipment.
- and -

Undergraduate degree or work experience in the field of life science, computer science, electrical engineering, or mechanical engineering.
