Chapman and Cutler - Asset Securitization Lateral
Chapman and Cutler LLP is seeking to hire an Associate to join the Asset Securitization Department. The new hire can sit in any of our U.S. office locations: Charlotte, Chicago, New York City, Salt Lake City, San Francisco, or Washington, D.C. The successful candidate will have a minimum of two years of experience in securitization or other finance transactional work at a large or mid-size law firm, in-house law department or governmental agency. We are also willing to train candidates with a background in corporate, securities, lending or more general finance related work.
Examples of specific types of desired experience include the following:
Drafting offering and transaction documents for term securitizations involving consumer assets, equipment, CLOs, real estate, marketplace loans or other asset classes
Drafting, negotiating and/or reviewing credit agreements and other documents in connection with credit facilities backed by pools of securitization assets
Working knowledge of the UCC and reviewing financing statements
Experience with derivative products
Advising on cash and synthetic CLOs across all markets, including broadly syndicated transactions, middle market transactions, and emerging market transactions
Understanding of federal securities laws and regulatory matters, including compliance with provisions of the Dodd-Frank Act and other financial crisis regulatory initiatives (e.g. ’33 Act, ’34 Act, Volcker Rule, Risk Retention Rules, ’40 Act)
Familiarity with opinion practice, including reviewing and drafting legal opinions
Familiarity with bankruptcy law as it pertains to securitization
Candidates must be admitted to and a member in good standing of the Illinois or New York bar.
The candidate should also possess impressive academic credentials; the ability to simultaneously negotiate and efficiently handle multiple projects; strong interpersonal, analytical, oral communication and writing skills as well as superior negotiating skills; and an understanding of business, industry and market issues.
